Preface

These Terms of Service ("Terms") govern access to and use of the websites, products, software, platforms, APIs, and services (collectively, the "Services") provided by Synetecs, Inc. ("Synetecs," "the Company," "we," "us," or "our").

By accessing or using the Services, you ("User," "you," or "your") agree to be bound by these Terms and by any additional policies or guidelines referenced herein. If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you and Synetecs and apply to all visitors, users, customers, developers, partners, and other entities accessing the Services.

1. Eligibility and Authority

You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into these Terms.

If you are accessing or using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Scope of Services

Synetecs provides software platforms, artificial intelligence systems, APIs, developer tools, and related services designed to enable conversational AI, context-aware systems, and task-oriented workflows.

The Services may evolve over time. Synetecs reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, subject to applicable law.

3. Account Registration and Security

Certain Services may require account registration. You agree to provide accurate, current, and complete information during registration and to keep such information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must promptly notify Synetecs of any unauthorized access or use of your account.

4. Acceptable Use

You agree to use the Services solely for lawful purposes and in accordance with these Terms.

You must not:

• Violate any applicable law, regulation, or legal obligation
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to systems, data, or networks
• Use the Services to develop or deploy harmful, deceptive, or abusive systems
• Reverse engineer, decompile, or disassemble the Services except as permitted by law

5. Intellectual Property Rights

All intellectual property rights in the Services, including software, models, documentation, trademarks, and logos, are owned by or licensed to Synetecs.

Subject to these Terms, Synetecs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services.

No rights are granted except as expressly stated in these Terms.

6. User Content and Data

You retain ownership of content and data you submit to the Services ("User Content"), subject to the rights granted to Synetecs under these Terms.

You grant Synetecs a worldwide, non-exclusive license to host, process, analyze, and use User Content solely to provide, maintain, and improve the Services, in accordance with applicable law and our Privacy Policy.

7. Artificial Intelligence and Automated Outputs

The Services may generate automated outputs based on probabilistic models and machine learning systems.

You acknowledge that AI-generated outputs may be inaccurate, incomplete, or inappropriate in certain contexts and must be reviewed by a qualified human before being relied upon for critical decisions.

Synetecs makes no warranties regarding the accuracy, reliability, or suitability of AI-generated outputs.

8. Fees and Payment

Certain Services may be subject to fees. All fees are exclusive of applicable taxes unless stated otherwise.

Failure to pay applicable fees may result in suspension or termination of access to the Services.

9. Confidentiality

You agree to protect confidential and proprietary information disclosed by Synetecs and to use such information solely for permitted purposes.

10. Termination

Synetecs may suspend or terminate your access to the Services at any time if you violate these Terms or applicable law.

Upon termination, all licenses granted to you under these Terms will immediately cease.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SYNETECS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNETECS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ARISING OUT OF OR RELATING TO THE USE OF THE SERVICES.

13. Indemnification

You agree to indemnify and hold harmless Synetecs and its officers, directors, employees, and affiliates from any claims, liabilities, damages, and expenses arising out of your use of the Services or violation of these Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in California.

15. Changes to These Terms

Synetecs may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
